By accessing or using any software, website, or service provided by Oprezo India, you confirm that you have read, understood, and agree to be bound by these Terms and Conditions. If you do not agree with any part of these Terms, please do not use our software or services.
Subject to these Terms, the Company grants the User a non-exclusive, non-transferable license to use the software and services provided by the Company for the User's personal or business use. This license does not transfer ownership of the software or any underlying intellectual property to the User.
The User shall not, and shall not allow any third party to, copy, modify, create derivative works of, distribute, sell, lease, sublicense, transfer, assign, or otherwise exploit the software or services provided by the Company, except as expressly permitted under these Terms or a separate written agreement with the Company.
The Company retains all right, title, and interest in and to the software and services it provides, including all associated intellectual property rights. The User shall not remove, alter, or obscure any copyright, trademark, patent, or other proprietary notices contained in or accompanying the software or services.
For custom development projects, ownership of the final delivered work product is governed by the specific written agreement or contract executed between Oprezo India and the client for that project.
The software and services provided by the Company are provided "as is" without warranty of any kind, either express or implied, including but not limited to the implied warranties of merchantability and fitness for a particular purpose. The Company does not warrant that the software or services will be uninterrupted, secure, or error-free.
To the maximum extent permitted by applicable law, the Company shall not be liable for any damages, including but not limited to direct, indirect, incidental, consequential, or punitive damages, arising out of or in connection with the use of or inability to use the software or services provided by the Company, even if the Company has been advised of the possibility of such damages.
The User agrees to indemnify and hold harmless the Company, its officers, directors, employees, agents, and affiliates from and against any and all claims, liabilities, damages, losses, costs, expenses, and fees (including reasonable attorneys' fees) arising out of or in connection with the User's use of the software or services, or the User's violation of these Terms.
All software development projects, features, or changes requested on a client's behalf are considered valid and binding only when confirmed or circulated in writing via email to info@oprezoindia.com. Verbal requests, informal chat messages, or instructions given through channels other than written email confirmation are not considered official project scope and will not be treated as binding by the Company.
The Company reserves the right to suspend or terminate a User's access to its software or services at its discretion, including in cases of violation of these Terms. Any provisions of these Terms that by their nature should survive termination (including intellectual property rights, disclaimers, and limitations of liability) will continue to apply after termination.
These Terms and Conditions are governed by and construed in accordance with the laws of India, without regard to its conflict of law provisions. Any disputes arising from these Terms shall be subject to the exclusive jurisdiction of the courts in Delhi, India.
Oprezo India may update these Terms and Conditions from time to time. Any changes will be posted on this page along with an updated "Last Updated" date. Continued use of our software or services after changes are posted constitutes acceptance of the revised Terms.
